Worldwide: Turkish Competition Law Overview for 2023 - What happened, What's Next?

Our webinar will reflect on major competition law developments in Turkey in 2023. We will  focus on the following three issues:

  1. Labor markets - No-poaching agreements. Parallel to the global trend, the Turkish Competition Authority (TCA) has increased the antitrust scrutiny of the labor markets. In June 2023  the investigation involving  49 undertakings operating in diverse sectors was concluded with fines for 16 undertakings for entering into no-poaching agreements, whereas 11 undertakings agreed to settle. We will address main concerns and TCA's approach to anticompetitive no-poaching agreements.

  2. Merger control - Technology undertaking exception. A special local turnover threshold exception introduced for the notification of concentrations involving technology undertakings and aimed at catching the killer acquisitions deserves a special attention. Although the implementation of this rule is rather new and the boundaries of “technology undertaking” are not crystal clear, there are several landmark decisions (including gun-jumping) starting to form the case law. We will elaborate on the exception along with the case law to give some guidance on how to address the Turkish notification process of mergers with technology dimension  and stay fully compliant with the merger control rules.

  3. Digital markets - DMA-like amendments. Similar to its counterparts around the world, the TCA has displayed a remarkable level of interest in addressing competition concerns in the digital markets. We will go through the draft DMA-like amendments to the Turkish Competition Law underlining main differences and similarities with the EU rules.

Bahadir Balki, LL.M.

Bahadir is a Managing Partner of ACTECON and co-head of the firm’s competition practice. He holds an LLM degree in European economic law from Europa-Institut at Saarland University and is admitted to Istanbul Bar Association. 

Bahadir represents clients in investigations of the Turkish Competition Authority, ranging from cartel cases to a variety of dominance matters. He’s experienced in complex mergers and also leads competition compliance programmes across a range of sectors. 

Bahadir was invited to the ICN’s annual meeting as a “resource person” to speak on remedies, commitments, and cooperation. He lectures in the corporate ethics and compliance management programme organised by the Ethics and Reputation Society of Turkey. He is the co-author of Merger Control in the EU and Turkey, by Wolters Kluwer.

Dr. Hanna Stakheyeva

Hanna Stakheyeva, Ph.D. - A competition lawyer, an academician and mom of two boys.  

An Of Counsel at ACTECON and an Assistant Professor at the Bosporus University.

Has been dealing with competition law matters with a particular focus on the EU, Ukraine and Turkey.

Previously worked at Baker & McKenzie (Kyiv, Ukraine) and SJ Berwin/King & Wood Mallesons (Brussels, Belgium). Graduated from Kyiv National T. Shevchenko University and University of Amsterdam, and the UWC “Atlantic” (Wales, UK).

A member of the Bar of Ukraine. An author of numerous publications, including a (co-authored) book on "Merger Control in the EU and Turkey: A Comparative Guide".

Kaan Gürer

Kaan is a counsel in Linklaters’ Düsseldorf Antitrust & Foreign Investment Group. He has diverse expertise in all fields of antitrust law with a focus on investigations, compliance advise and merger control both at EU level and in Germany, including on vertical and abuse of dominance questions. Based on his vast experience in several complex matters, he is very familiar with the structures of both the Federal Cartel Office in Germany where he spent time during his legal training and the European Commission.

Kaan has profound experience in the automotive industry, digital economy, technology, energy, private equity, industrials, real estate and healthcare. He is also a member of the firm’s ESG working group and publishes regularly in this area.

Kaan is listed by Who's Who Legal and Global Competition Review in the category "Competition Future Leaders 2023 (non-partners)" and by Handelsblatt in the category "Best Lawyers 2023" for antitrust law.
