The Connecticut Uniform Limited Liability Company Act (the Act) took effect on July 1, 2017. Prior Day Pitney Client Alerts have summarized changes to Connecticut limited liability companies (LLCs) instituted by the Act and possible effects on existing operating agreements. Beginning January 1, 2018, all Connecticut LLCs and foreign LLCs registered to do business in Connecticut must file their annual reports with the Connecticut Secretary of the State between January 1 and March 31, regardless of their date of formation or registration.1 Under the prior law, annual reports were due at the end of the month that the LLC was formed or registered.

Connecticut LLCs that will be formed and foreign LLCs that will register to do business in Connecticut on or after April 1, 2018, must file their first annual report online with the secretary of the state between January 1 and March 31 of the following calendar year. For example, if an LLC is formed (or registered) in Connecticut on June 1, 2018, its first annual report will be due between January 1 and March 31, 2019. Subsequent annual reports will be due between January 1 and March 31 each calendar year thereafter.

The current filing fee for an annual report is $20. This is separate from the $250 biennial business entity tax payable to the Department of Revenue Services.
