Goodwin has advised private equity investor FLEX Capital on the financing of the acquisition of Omikron Systemhaus GmbH & Co. KG ("Omikron"), a leading German provider of e-banking solutions.

FLEX Capital is a private equity fund founded by successful serial entrepreneurs that invests in profitable and growing companies from the German Internet and software midmarket. Announced in early 2023, the second fund of €300 million includes a commercial structure for the first time, enabling FLEX Capital to provide operational support to portfolio companies with a purpose-built 30-person team of experts, differentiating the investor from many other private equity funds. Currently, the FLEX portfolio comprises seven business platforms.

With more than 40 years of experience in the financial sector, Omikron Systemhaus is among the leading providers of e-banking solutions. Omikron offers the Electronic Banking System MultiCash, a multi-bank-enabled standard software that banks provide to their corporate customers for conducting their financial transactions.

Goodwin regularly advises FLEX Capital on financing matters, most recently on a refinancing for EVEX Group, including the financing of the acquisitions of Optix Group and Euronet.
