In der Praxis stellt die Durchführung einer Due Diligence eine übliche Vorgehens-weise zur Prüfung und Evaluierung einer Target-Gesellschaft im Rahmen einer M&A-Transaktion dar, eine Pflicht zur Durchführung einer Due Diligence besteht allerdings nicht. Sie dient insbesondere der Erhebung transaktionsrelevanter Infor-mationen für die Unternehmensbewertung, Kaufvertragsverhandlungen und Fi-nanzierungsüberlegungen von Banken und Investoren, sowie der Abschätzung etwaiger Risiken und Chancen des Geschäfts. Die rechtliche Due Diligence bildet in der Regel die Basis für die Vertragsverhandlungen, ihre Ergebnisse fließen u.a. über Garantien und Freistellungansprüche in die endgültigen Kaufverträge ein.
